Credit Pool

Terms of Use and Risk Disclosure

Read these terms before you connect a wallet, sign an approval or transaction, buy a token or deposit assets. Credit Pool is experimental and has not been audited by an independent professional security firm. You may lose every asset you commit or expose to the protocol. Losses may be immediate, total and permanent. POOL and other tokens may have no monetary value, no buyers and no recovery value. Only take part if you understand and accept these risks and can afford a complete loss.

These terms govern your use of the Credit Pool website and, to the extent you accept them, your participation in the Credit Pool protocol. They include an assumption of risk, a release of certain claims, warranty disclaimers and limits of liability.

1. The agreement and your acceptance

These terms are between you and the people who operate the Credit Pool website at creditpool.fun and creditpool.app ("we", "us", "our"). "You" includes a person or entity on whose behalf you act. If you act for an entity or another person, you represent that you have authority to bind them and to authorize the transactions you submit.

"Site" means the website and its interfaces. "Protocol" means the experimental Ethereum smart contracts associated with Credit Pool: SCORE and its vault, the SCORE/ETH pool and its liquidity contract, POOL, the POOL/ETH pool and its trading hook, the Burner, the Builder, the CreditRouter, and the related bootstrap, farm, guard and migration components. "Services" means the Site and the Protocol together. A component is included only once it has actually been deployed and listed in the contract directory on the Site.

You accept these terms when, after notice and access to them, you sign a message expressly accepting them. Connecting a wallet, holding a token, or sending an unrelated blockchain transaction does not by itself establish acceptance. If you do not agree, do not use the Site to start a transaction. These terms do not claim to bind someone only because they acquired a token elsewhere or used a contract without notice and assent.

Your acceptance applies to your later use of the Services under that version, including direct use of the Protocol. An acceptance signature is evidence of agreement only; it does not authorize a transfer, allowance, permit or other movement of assets, which need separate authorization. You can save a copy of this page.

2. Eligibility and lawful use

You represent that you are at least 18, of legal age where you live, and have the legal capacity and authority to use the Services and to control the assets you submit. Do not use the Services if doing so is prohibited by the law that applies to you.

Do not use the Services if you, the entity you represent, or a transaction you propose is subject to sanctions or other legal restrictions that prohibit the activity, and do not use another person, wallet, VPN or other means to evade them. You are responsible for understanding the laws that apply to your own activity; this does not transfer to you any obligation the law places on us.

You are responsible for your own reporting, records and taxes. The POOL trading charge called a "tax" is a charge imposed by code, not a tax owed to any government.

3. Independent experimental project

Credit Pool is an independent experiment. It is not affiliated with, endorsed by, sponsored by or acting for jack.art, the Credits or Statements projects, Uniswap, or any other project or company named in the Services. References to third-party names, contracts and software do not imply approval or partnership.

The Site is an interface to blockchain software. The contracts may remain usable through other interfaces or directly even if the Site is restricted, discontinued or unavailable. Access to deployed code does not mean that anyone can stop, reverse, repair or support it.

4. POOL and other token rights

POOL is an experimental memecoin for entertainment, community participation and use within the Protocol. It is not offered as equity, debt, a savings product or a promised investment return. Do not acquire it relying on anyone to increase its price or to generate a profit for you.

Be prepared to treat POOL, every reward and every expected distribution as having zero monetary value. They may be worthless when acquired or become worthless later. There is no guaranteed value, market, liquidity, price floor or ability to sell. A displayed price, liquidity figure, balance or estimate does not establish an amount you can realize.

Holding POOL or SCORE does not give you ownership of any business, a share of revenue or profits, voting rights in a legal entity, a claim on protocol-owned liquidity, or a claim against the personal assets of developers or operators. Any functionality available through a deployed contract is limited to that contract's mechanism and implies no further rights or payment guarantee.

5. No promises of profit or future development

Nobody promises profits, positive returns, appreciation, a listing, trading volume, a minimum price, continuing liquidity, a future token, a migration, a conversion, an airdrop, a distribution or the completion of any plan. References to possible plans describe intentions or experiments unless expressly identified as a binding obligation in these terms.

Burns, the Builder, farming, emissions, rewards and liquidity mechanisms may fail, stop, be exploited, run out of funding or have no favorable effect on price. Burning supply does not guarantee scarcity value or a higher price. Estimated rewards, fees and other figures may be hypothetical, variable or wrong. Receiving more tokens does not mean you have made a profit.

We have no continuing obligation to develop, audit, monitor, maintain, improve, fund, market or rescue the Services, or to run a keeper or other off-chain process. This does not excuse a duty imposed by law.

6. Unaudited software and technical risks

The Protocol has not been audited by an independent professional security firm. Informal testing, published code, automated or AI-assisted analysis, or a review by a contributor is not a professional security audit, and any future audit or review would not guarantee security or remove risk.

The Services may contain coding errors, economic design flaws, unexpected interactions, wrong calculations, unsafe permissions or other vulnerabilities. Bugs or attacks may allow unauthorized minting, transfers, withdrawals, burns, manipulation, freezing or loss of assets, in one transaction or across the whole Protocol. A contract that worked before may fail under different conditions.

Risks include reentrancy, flash-loan and price-manipulation attacks, compromised keys or signers, malicious dependencies, faulty hooks, rounding and accounting errors, access-control failures, transaction-ordering attacks, denial of service, and failures in external contracts or services. These examples are not exhaustive; risks may be known or unknown, and may arise separately or together.

Immutable code may be impossible to patch. The administrative powers are only those actually implemented and described in Section 10. A pause, emergency unlock or other intervention may not prevent or remedy an exploit, and nobody may be able to return missing assets, restore a contract or provide compensation.

7. Wallets, transactions and market risks

You are responsible for protecting your wallet, private keys, seed phrases, devices and signing credentials. Check the network, contract address, token, amount, recipient, fee, allowance and transaction data before signing. Names, symbols, search results and social-media links can be copied or spoofed. Never give a seed phrase or private key to anyone claiming to offer support.

An approval, permit or other authorization can expose assets that remain in your wallet, including more than you intend to trade or deposit. Unlimited or lasting permissions may allow later transfers. A compromised Site, wallet, extension or approved contract may cause further losses. Revoking an authorization does not undo transactions that already happened.

Blockchain transactions may be irreversible, delayed, reordered, censored, reverted or affected by a chain reorganization or fork. Gas and other charges may be paid even when a transaction fails. Transactions may execute at prices or amounts very different from those displayed. Nobody guarantees inclusion, execution, finality or a particular route.

You may be exposed to front-running, sandwich attacks and other transaction ordering (MEV), bots, large holders selling, concentrated ownership, market manipulation, severe slippage and sudden loss of liquidity. You may be unable to sell, exchange, withdraw or transfer a token at any price. Providing liquidity may cause substantial impermanent loss, unfavorable changes in what you hold, and total loss, including compared with simply holding the assets.

Ethereum, wallets, RPC providers, hosting, interfaces, exchanges, liquidity pools, hooks and other dependencies carry their own risks and terms. A failure or exploit elsewhere can affect Credit Pool even if its own code works as designed.

8. SCORE wrapping and bootstrap commitments

Do not count on getting your Credits back. Until Statements open, the contracts let anyone holding SCORE take loose Credits out of the vault for exactly the SCORE they minted; after that, until the migration, anyone holding SCORE can take whole Statements out for exactly the SCORE they back. That can include the Credits or Statements you wrapped. Both close while wrapping is paused and from the migration on. Credits held in the vault may be composed into Statements, which permanently burns those Credits. Before the bootstrap launches, only the bootstrap itself can wrap. SCORE's market value depends on what others will pay and on the functionality actually available through the Protocol.

A Credit or Statement sent to the SCORE contract with a plain transfer, rather than a safe transfer or the wrap functions, is not counted, mints no SCORE and cannot be recovered through the Protocol. Sending assets to a contract address does not necessarily invoke the intended function or create an entitlement.

A bootstrap commitment cannot ordinarily be cancelled, and refunds are not guaranteed. Whether any amount can be returned depends on the contracts operating as written and the assets still being there; an exploit or failure may make it impossible, and nobody will replace missing funds. Gas, opportunity costs, trading losses and other charges are never returned.

Commitments pair at the launch price in effect when they are made, and every commitment settles at the price the pool opens at: the scarcer side goes in in full and each commitment gets the same fraction of the other side back. Until launch, the owner or a designated price keeper sets the launch price, within a band fixed at deployment and by at most 10% per update, and launch requires a recently set price.

Bootstrap liquidity, and liquidity you choose to lock, cannot be withdrawn until the migration process or the deadline described in Section 9. A lock may continue while prices move sharply or assets lose all value. A published deadline does not guarantee a liquid market or a successful withdrawal.

9. Migration and liquidity withdrawal restrictions

The Protocol contemplates a possible future token created by an independent third party (the "Third-Party Token"). Nobody here controls its issuer, launch, auction, allocation, terms, eligibility, transfer restrictions or performance. It may never launch, and its terms may make the planned migration impossible or very different from current plans.

If the migration has not been enabled by the deadline, locked bootstrap liquidity and other locked liquidity unlock. If the migration proceeds, the liquidity the migrator builds for locked units is released continuously over the 24 hours after the migration completes; if the migration can no longer complete, it is released at once. The assets ultimately available may differ from those deposited and may be worth less or nothing. The release schedule does not guarantee funding, an exchange rate, execution or value.

Before the migration, the owner or guardian may schedule an on-chain pause for a stated time, intended to be announced in advance around the Third-Party Token's auction. From that time, wrapping, deposits and withdrawals stop, including withdrawals of liquidity that had been unlocked; trading continues. The pause can be lifted, and either may give up the pause power permanently through the contracts, after which no pause can be set, moved or lifted.

Once the migration opens, SCORE/ETH liquidity cannot be withdrawn and the deadline no longer unlocks it. The guardian's emergency unlock can lift that restriction, and everything unlocks 3 days after the migration opens if it has not completed by then. An unlock removes a restriction; it does not guarantee that assets remain available. The migrator moves the pool's liquidity into a pool of the Third-Party Token, and SCORE can then be exchanged through it for the Third-Party Token.

The migrator may be written only after the Third-Party Token's details are known. The owner can set and enable it without a timelock, so it may act as soon as it is enabled, and you may commit assets before its code exists or can be inspected. Its development, deployment, safety and success are not guaranteed. An unsuitable or compromised migrator may misdirect, lose or permanently lock assets.

Plans to convert Statements, convert SCORE or migrate liquidity are intentions, not a guarantee that any particular transaction or outcome will happen.

Protocol-owned liquidity is not part of anyone's LP units and is not a user balance. It moves only in the migration, into a protocol-owned liquidity contract for the Third-Party Token, or through the guardian's last-resort rescue if nothing has migrated by the deadline. No token holder acquires a claim to it by holding a token.

10. Administrative powers and operational control

Smart contracts do not make every part of the Services autonomous. The owner and the guardian have the powers actually implemented in the contracts, including: setting the bootstrap's open time and, before it opens, its minimum and caps; setting the launch price within its band, directly or through a price keeper; scheduling, lifting or giving up the pause; setting, enabling and removing the migrator; the guardian's emergency unlock and last-resort rescue; setting the keepers' tip within its cap; and routing or burning the farm reserve after the migration. The guardian is a multisig; the owner may be a single wallet. The contract directory on the Site lists their addresses.

Signers may make mistakes, disagree, become unavailable or have their keys compromised. That may delay or prevent action, allow an unsafe action or cause total loss. An emergency function may fail, may be used too late, or may never be used. Holding a permission is not a guarantee of rescue or recovery.

Your wallet stays under your control, but assets submitted to a contract become subject to its code and permissions, including an authorized migrator's ability to move pooled assets. These terms do not decide a legal custody classification or remove duties that follow from actual control.

11. Fees, allocations and conflicts of interest

POOL trades pay a charge (the "tax") set by the POOL/ETH pool's hook: 99.9% in the launch block, then falling evenly from 99% to 3% over the first hour, then 3%. Of each charge, the dev fee (5% of the charge at launch, and it can only be lowered) goes to the dev wallet; of the rest, half is burned as POOL inside the trade and half goes to the Builder, which adds it to protocol-owned liquidity. The protocol's own contracts do not pay the tax. The POOL/ETH pool also has a liquidity-provider fee set at deployment, paid to its liquidity providers. After the first hour, anyone can add liquidity to the POOL/ETH pool.

SCORE/ETH trades pay a 1% fee. The dev fee (5% of the fee at launch, lower-only) goes to the dev wallet; of the rest, each owner's part (LP units or protocol-owned liquidity) is half compounded into its liquidity and half used by the Burner to buy and burn POOL. Each bootstrap commitment pays a 5% surcharge on top of its paired ETH, which seeds POOL's liquidity at launch. The CreditRouter charges 0.5% of the ETH spent on Credit purchases before launch, paid to the owner, and 1% after launch, split between the dev wallet, the Burner and the Builder. A fee can make a trade uneconomic; review the actual transaction before signing.

No POOL is reserved for the team: the whole supply went to the POOL/ETH pool (30%), the bootstrap allocation (30%) and the farm (40%: 10% streamed before the migration, 10% for the week after it, and a 20% reserve that the owner may route to liquidity incentives or burn). This describes the initial allocation only. It does not promise that contributors will never acquire tokens, provide liquidity, receive the disclosed fees, or trade lawfully later. Contributors, keepers and liquidity providers may have interests different from yours.

Gas and third-party charges are separate. Fees are not refundable because you regret a transaction or get an unfavorable result.

12. Information, advice and third parties

The Services provide software and general information, not individual financial, investment, legal, accounting or tax advice. Using them creates no advisory, fiduciary, agency, partnership or trust relationship. Duties imposed by law based on actual conduct are not waived.

Prices, balances, LP units, emissions, estimates, simulations, charts and other displayed data may be incomplete, delayed or wrong, and past results do not establish future results. A community comment, social-media post or informal discussion does not change these terms or create a guarantee. This does not excuse a misleading statement or remove a legal remedy for it.

Third-party content, tools and links are provided for convenience and are not endorsed or represented as safe, available, licensed or suitable. You decide whether to use them and must follow their terms.

13. Prohibited conduct and responsible reporting

Do not use the Services for fraud, theft, unlawful market manipulation, money laundering, sanctions evasion, impersonation or other unlawful conduct. Do not deliberately exploit a vulnerability, take assets, interfere with access controls, submit malicious code, disrupt the Site, or misuse someone else's credentials or approvals.

Public code and the ability to make a contract execute do not authorize taking assets you are not entitled to. If you find a vulnerability, do not access, move or put anyone else's assets at risk, and do not publish its details. Report it by sending a short on-chain message (a transaction to the owner address listed in the contract directory, with text in its input data) that contains only how to reach you on X or Telegram and no details of the issue; the reply comes privately there. On-chain messages are public and permanent. No bug bounty, immunity, payment or permission for live testing is offered unless a separate written program expressly provides it.

14. Changes, availability and termination

The Site or a feature may be restricted, suspended or discontinued for security, legal or operational reasons, with notice when reasonably practicable. Continuous availability is not guaranteed. Without the Site, using the contracts directly may be the only route left, which may need technical knowledge or may also be unavailable.

A restriction or termination does not transfer ownership of your assets, remove an existing contract entitlement or authorize confiscation. It may not unwind a transaction, cancel an approval, release a lock or reverse a migration.

Changed terms get a new version, and the Site asks for fresh acceptance before applying material changes to later Site transactions. Posting revised terms does not change an earlier transaction, an accrued claim or an existing lock. A change you have not accepted does not remove rights under the version you accepted. A change to these terms does not change immutable code or grant new administrative powers.

15. Rights that remain protected

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, WILLFUL MISCONDUCT OR GROSS NEGLIGENCE BY THE PARTY SEEKING PROTECTION, OR ANY LIABILITY, DUTY OR REMEDY THAT APPLICABLE LAW DOES NOT ALLOW TO BE EXCLUDED OR LIMITED.

This section controls over every contrary provision. If an exclusion or limit is unlawful where you are, it applies only to the extent lawful, and your remaining rights are preserved.

16. Assumption of risk and limited release

Subject to Section 15, you knowingly and voluntarily accept the economic and technical risks described in these terms, including bugs, exploits, compromised permissions, third-party failures, administrative errors, market losses, failed migrations and an inability to withdraw. You accept that all ETH, Credits, Statements, SCORE, POOL, LP positions, rewards and other assets committed to or exposed through the Services may be lost immediately and permanently. You are responsible for your decision to take part and for the size of your exposure.

"Protected Parties" means the operators of the Site and the developers, contributors, maintainers, authorized signers and keepers involved in providing the Services, only in that role. It does not include an unrelated attacker who uses the public contracts.

TO THE FULLEST EXTENT PERMITTED BY LAW AND SUBJECT TO SECTION 15, YOU RELEASE THE PROTECTED PARTIES FROM CLAIMS ARISING FROM THE RISKS YOU ACCEPT UNDER THESE TERMS, INCLUDING CLAIMS BASED ON ORDINARY NEGLIGENCE IN DESIGNING, CODING, TESTING, DEPLOYING, OPERATING OR MAINTAINING THE SERVICES, WHETHER THE RISK WAS KNOWN OR UNKNOWN WHEN YOU ACCEPTED, BUT ONLY WHERE THAT RELEASE IS LAWFUL.

Your decisions are your own. You are not relying on a promise of profit, rescue, reimbursement or continued development that these terms do not make. This does not waive claims for actionable misrepresentation or concealment, and a risk acknowledgment does not authorize anyone to steal assets or intentionally harm you.

17. Warranties and limits of liability

TO THE FULLEST EXTENT PERMITTED BY LAW AND SUBJECT TO SECTION 15, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. THE PROTECTED PARTIES DISCLAIM EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY AND FREEDOM FROM DEFECTS. NO WARRANTY IS MADE THAT THE SERVICES WILL OPERATE AS DESCRIBED, BE UNINTERRUPTED OR ERROR-FREE, OR PRESERVE ASSETS OR VALUE.

TO THE FULLEST EXTENT PERMITTED BY LAW AND SUBJECT TO SECTION 15, THE PROTECTED PARTIES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OPPORTUNITIES, GOODWILL OR DATA, ARISING FROM THE SERVICES, WHETHER IN CONTRACT, TORT, ORDINARY NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF THE POSSIBILITY OF LOSS WAS DISCLOSED.

SUBJECT TO SECTION 15, THE COMBINED LIABILITY OF ALL PROTECTED PARTIES FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF US $100 OR THE FEES FROM YOUR USE THAT THE PROTECTED PARTIES ACTUALLY RECEIVED (INCLUDING FEES ROUTED BY CODE TO THE DEV WALLET OR THE OWNER) DURING THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM. THIS IS ONE COMBINED CAP, NOT ONE PER CLAIM, WALLET OR PROTECTED PARTY, AND IT COVERS DIRECT LOSS OF FUNDS, TOKENS OR OTHER ASSETS TO THE EXTENT LAWFUL.

For the cap, fees exclude your deposits, trading amounts, token purchase prices, LP contributions, gas and charges paid to unaffiliated third parties. The cap does not limit the claims preserved by Section 15. No token balance, deposit or position is insured; there is no insurance, compensation fund or promised reimbursement.

18. Indemnity

Subject to Section 15, you will indemnify the Protected Parties for third-party claims, resulting damages and reasonable external legal costs to the extent caused by your unlawful use of the Services, material breach of these terms, infringement of another person's rights, or unauthorized use of another person's assets. This does not cover a loss caused by ordinary authorized participation, claims you bring to enforce your own rights, or the fraud, willful misconduct or negligence of the Protected Party seeking indemnity, and no indemnity is required where the law prohibits it.

19. Data, intellectual property and other provisions

Blockchain activity is public and may be permanent, and wallet addresses, balances and transaction histories may be linked to a person. Nobody can promise anonymity or remove data recorded on a blockchain. The Site has no accounts and no tracking. Your display preferences are stored only in your browser. Your acceptance signature, with the message and wallet it names, may be stored as a record of your acceptance. The Site's hosting and network providers (Vercel and Cloudflare) process IP addresses and request logs to serve and protect it, and the Site reads blockchain and marketplace data through an RPC provider and OpenSea, which receive the requests it makes. These terms do not authorize any other processing of personal data.

You have a limited, revocable permission to use the Site lawfully under these terms. Source code published under an open-source license remains governed by that license. Acquiring a token grants no rights in the Credit Pool name, branding or artwork, or in third-party intellectual property.

These terms are the entire agreement on their subject, subject to any separate agreement expressly made; informal statements do not amend them. This does not remove liability protected by Section 15. If a provision is invalid or unenforceable, it is limited or severed as the law allows and the rest continues to apply. Not enforcing a provision is not a waiver.

You may not assign this agreement without consent, except where the law allows. It may be transferred with the operation of the Site if the successor takes on its obligations and your accrued rights are not reduced. The Protected Parties are intended third-party beneficiaries of Sections 15 through 18 only to the extent those sections protect them and are enforceable. The provisions on completed transactions, accrued obligations, risk allocation, protected rights, releases, liability, indemnity and interpretation survive termination.

20. Deployment disclosures

The contract directory on the Site lists the network (Ethereum mainnet, chain id 1), every contract address, and the owner, guardian and dev wallet addresses. The bootstrap's open time, its deadline, and the end of the pre-migration farm stream are read from the contracts and shown on the Site. Contracts not listed there are not part of the Protocol.

The descriptions in these terms explain the deployment; they do not guarantee bug-free execution. Deployed code determines what happens on the blockchain, while these terms and applicable law govern legal rights. A difference between code and a description is a risk, not permission to make a false statement or a waiver of a legal claim. If material information is missing or inconsistent, do not transact until it is resolved.

21. Affirmative acceptance

Before your first transaction through the Site, it asks your wallet to sign a message accepting the version of these terms shown to you. The message summarizes the terms and does not replace them. It names your wallet and the version you accept. Signing it costs nothing, sends no transaction and authorizes no transfer or approval. The signature may be stored as a record of your acceptance. Your browser remembers it for that wallet, so you are asked again for a new version, a new wallet or a new browser.
